Terms of Service

Draft for legal review — not legal advice. These Terms include the standard protections a user-generated-content platform relies on (platform/host framing, indemnification, DMCA process, disclaimers, liability limits, release, and dispute resolution). They reduce and allocate risk; no terms eliminate all risk. Before publishing you should still: (1) register a DMCA agent with the U.S. Copyright Office for the safe harbor in Section 7 to apply; (2) decide on and have counsel confirm the arbitration / class-action-waiver section (Section 16), whose enforceability depends on jurisdiction and formation; and (3) have a lawyer review the whole document.
By creating an account or using Mise (the "Service"), operated by Soy Ventures LLC ("Mise", "we", "us"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. Accounts and eligibility
You must provide accurate information and are responsible for all activity under your account. You must be at least 13 years old (or the minimum age of digital consent where you live, if higher). Keep your credentials secure and notify us promptly of any unauthorized use. You are responsible for any activity that occurs under your account.
2. Mise is a platform for user content
The Service lets users create, publish, and discover recipes and related content. The content on the Service is created by its users, not by Mise. We do not author, endorse, verify, or guarantee user content, and we are not responsible for it. We have no obligation to monitor or pre-screen user content, but we may review, remove, or restrict any content, and suspend or terminate any account, at our discretion — for example in response to reports or suspected violations of these Terms. Any action or inaction by us in this regard does not make us responsible for user content or waive these Terms.
3. Your content
You keep ownership of the recipes, photos, cookbooks, comments, and other material you post ("Your Content"). By posting Your Content, you grant Mise a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and create technically necessary derivatives of Your Content for the purpose of operating, improving, and promoting the Service. This license ends when you delete Your Content or your account, except for content others have already saved or shared and for reasonable backup copies.
You are solely responsible for Your Content. You represent and warrant that you own or have all rights necessary to post Your Content and to grant the license above, and that Your Content — and our use of it as permitted here — does not infringe or violate the rights of any third party or any law.
4. Importing recipes
The Service lets you import a recipe from a web link for your private use. Imported recipes are visible only to you and are not published, sold, or shown to other users. You are solely responsible for how you use imported content and for respecting the rights of the original source. The import feature is provided for personal convenience, not to republish or monetize others' work.
5. Acceptable use
You agree not to:
- post content that is unlawful, infringing, defamatory, hateful, harassing, obscene, or otherwise harmful;
- upload photos that are not of the dish, or that you do not have the rights to;
- impersonate any person or entity, or misrepresent your affiliation;
- spam, scrape, harvest data from, or otherwise abuse the Service or its users;
- attempt to break, overload, reverse engineer, or circumvent the Service's security or access controls;
- use the Service to violate any law or the rights of others.
We may remove content and suspend or terminate accounts that violate these Terms. You can report content and block other accounts within the app.
6. Enforcement and reporting
We provide in-app tools to report content and to block other users, and we act on reports we receive. Reporting content does not guarantee a particular outcome. We are not liable for the content, conduct, or accounts of other users, and our enforcement decisions are made at our discretion.
7. Copyright and DMCA notice-and-takedown
We respect intellectual-property rights and respond to notices of alleged infringement under the U.S. Digital Millennium Copyright Act (DMCA) and similar laws. If you believe content on the Service infringes your copyright, send a notice to our designated agent at dmca@getmise.kitchen including: (a) your physical or electronic signature; (b) identification of the work claimed to be infringed; (c) identification of the allegedly infringing material and where it is located on the Service; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act for the rights holder.
We may remove allegedly infringing content and, in appropriate cases, terminate the accounts of repeat infringers. If your content was removed by mistake, you may submit a counter-notice. This designated agent must also be registered with the U.S. Copyright Office for DMCA safe-harbor protection to apply.
8. Creator memberships and cookbooks
Creators may offer memberships and sell cookbooks where those features are available. When monetization is enabled:
- Payments are processed by a third-party provider, whose terms also apply, and Mise is not responsible for the processor's acts or omissions.
- Except where required by law or stated in our published refund practices, purchases and subscription fees are non-refundable.
- Creators are solely responsible for their offerings, the rights to what they sell, and their own tax obligations.
We will provide additional creator and payment terms before these features launch.
9. Food safety and information disclaimer
Cooking involves inherent risks, and you assume them. Recipes on the Service are user-created and are not reviewed or verified by Mise. Recipes, and any nutrition, allergen, serving-size, dietary, and price information shown, are provided for general convenience and may be incomplete or inaccurate. You are responsible for using safe food-handling practices, verifying ingredients, and accounting for allergies, dietary restrictions, and medical needs before cooking, eating, or purchasing. Mise is not responsible for any illness, injury, damage, or loss resulting from recipes, ingredients, or information obtained through the Service. Nothing here is medical or nutritional advice.
10. Our intellectual property
The Service, including its name, branding, design, and software, belongs to Mise and its licensors. These Terms do not grant you any right to our trademarks or to the Service except as needed to use it normally.
11. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Mise and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use or misuse of the Service; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party; or (e) your interactions or disputes with other users. We may assume the exclusive defense of any matter subject to indemnification by you, and you agree to cooperate with us.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Mise does not warrant that the Service will be uninterrupted, secure, error-free, or that content is accurate or reliable. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
13. Limitation of liability
To the maximum extent permitted by law, Mise and the parties described in Section 11 will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business, arising out of or related to the Service or these Terms, whether based in contract, tort, or otherwise, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or US $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Release of user-to-user disputes
The Service may bring you into contact with other users and their content. Your interactions and disputes with other users are solely between you and them. To the maximum extent permitted by law, you release Mise and the parties described in Section 11 from any claims, demands, and damages of every kind arising out of or connected with such disputes or with content posted by other users.
15. Termination
You may delete your account at any time in Settings → Delete account. We may suspend or terminate your access at any time, with or without notice, for violations of these Terms or to protect the Service and its users. Sections that by their nature should survive termination — including Sections 3 (license already granted), 9, 10, 11, 12, 13, 14, 16, 17, and 19 — will survive.
16. Dispute resolution; arbitration; class-action waiver
This section materially affects your legal rights and its enforceability depends on jurisdiction and proper formation. Have counsel confirm and adjust before relying on it; remove it if you prefer courts only.
Informal resolution first. Before filing any claim, you agree to contact us at support@getmise.kitchen and try in good faith to resolve the dispute for at least 30 days.
Arbitration. Except for claims that qualify for small-claims court and requests for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court, under the rules of a recognized arbitration provider, in the location of the governing-law jurisdiction below.
Class-action waiver. You and Mise agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.
17. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Subject to Section 16, any dispute not subject to arbitration will be resolved exclusively in the state or federal courts located there, and you consent to their jurisdiction, except where applicable law provides otherwise.
18. Changes to the Service and these Terms
We may modify or discontinue features, and we may update these Terms. Material changes will be reflected by the "Last updated" date above. Your continued use of the Service after changes take effect means you accept the updated Terms.
19. General
If any provision of these Terms is found unenforceable, the rest remain in effect, and the unenforceable provision will be limited or removed to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. These Terms, together with the Privacy Policy and any terms presented for specific features, are the entire agreement between you and Mise regarding the Service. We are not liable for delays or failures caused by events beyond our reasonable control.
